Dataset License Terms

These Dataset License Terms define the default license granted to a buyer when a CrowdifAI marketplace listing incorporates these Terms. A listing or enterprise order may include additional or different restrictions; any clear order-specific terms control for that transaction.

1. Parties and licensed material

The “Licensor” is the creator/seller or CrowdifAI entity identified as the licensor in the listing/order. The “Licensee” is the buyer identified by the CrowdifAI order.

“Dataset” means the files, annotations and metadata made available under the purchased listing, excluding CrowdifAI software and material expressly identified as third-party material under a separate license.

2. License tier controls

Basic / Scientific License

Unless the listing states otherwise, a Basic/Scientific license permits use for non-commercial research, education, evaluation, benchmarking and internal experimentation.

It does not permit commercial deployment, sale of products/services materially relying on the Dataset, or production inference use if that use is outside the non-commercial scope.

Premium / Commercial License

Unless the listing states otherwise, a Premium/Commercial purchase grants the Licensee a non-exclusive, worldwide, perpetual license to use the Dataset internally for lawful commercial machine-learning/data-science purposes, including:

• ingestion and indexing;
• analysis and feature engineering;
• model training and fine-tuning;
• computer-vision, NLP or other model development as applicable;
• quality assurance and evaluation; and
• production inference and deployment of models developed using the Dataset.

The license is perpetual for a completed, non-refunded transaction unless the listing expressly states a limited term or the license is terminated for material breach.

3. Model outputs and derived artifacts

Subject to the restrictions below, the Licensee may use and commercialize models, model weights, statistics, embeddings, reports and other derived artifacts created through permitted use of the Dataset, provided those artifacts do not reproduce or expose substantial raw Dataset content in a way that substitutes for access to the Dataset.

Before publication, counsel should confirm whether embeddings and generative-model memorization require more specific restrictions for the dataset types actually sold.

4. No raw redistribution

Unless a listing expressly grants redistribution rights, the Licensee must not:

• resell the Dataset;
• sublicense the raw Dataset;
• publish or publicly host the Dataset;
• mirror or redistribute high-resolution source files;
• distribute raw annotations, bounding boxes or polygons as a substitute for the Dataset; or
• make the Dataset available to unrelated third parties for their independent use.

5. Contractors and service providers

The Licensee may allow employees and contractors to access the Dataset only to perform work for the Licensee within the licensed purpose and only if they are bound by confidentiality/security obligations at least as protective as these Terms.

Cloud and ML infrastructure providers may process the Dataset on the Licensee’s behalf where they act as service providers rather than independent recipients and the Licensee remains responsible for compliance.

6. Prohibited uses

The Dataset may not be used:

• in violation of applicable law;
• to unlawfully identify, track, profile, discriminate against, harass or exploit a person;
• to defeat security or authentication without authorization;
• to create or facilitate unlawful content/services;
• to claim ownership of the raw Dataset itself; or
• beyond any material restriction stated in the listing.

If the Dataset contains personal data, the Licensee must independently establish a lawful basis and satisfy applicable data-protection obligations for its downstream use.

7. Personal/confidential information

A marketplace listing is not a guarantee that a Dataset contains no personal or confidential information. Unless CrowdifAI expressly provides a specific verified privacy certification for a listing, the Licensee must conduct appropriate diligence for its intended use and notify CrowdifAI promptly if it discovers apparently unlawful sensitive material.

8. Security

The Licensee must use reasonable technical and organizational safeguards appropriate to the sensitivity of the Dataset and limit access to personnel/service providers who need it for the licensed purpose.

9. Intellectual property

The Dataset is licensed, not sold as intellectual-property ownership. Except for the express license granted, the Licensor retains its applicable rights in the Dataset.

No trademark, patent or other right is granted except as expressly stated.

10. Refund/reversal

If the full purchase price is refunded or reversed, the license terminates to the extent permitted by law and the Refund & Cancellation Policy applies. The Licensee must stop using and delete raw Dataset copies under its control except where retention is legally required.

11. Material breach

If the Licensee materially violates the redistribution or prohibited-use restrictions and does not cure a curable breach after reasonable notice, the Licensor/CrowdifAI may terminate the license and require deletion of raw Dataset copies, subject to applicable law.

12. Dataset quality and mandatory rights

The Dataset is provided according to its listing description. Machine-learning data may contain errors, bias, omissions, duplicates or labeling differences.

No clause excludes statutory digital-content conformity rights or other mandatory consumer protections.

13. Enterprise terms

An enterprise order form, data license agreement or master services agreement signed by the parties may replace or modify these default Dataset License Terms.
